License Agreement

End User License Agreement (EULA) for Viete

Effective Date: August 7, 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Viete Inc ("Company," "we," "us," or "our") for the use of the Viete collaboration platform software, including any associated documentation, updates, and services ("Software").

1. Grant of License

Subject to the terms and conditions of this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes in accordance with the documentation provided.

2. Restrictions

You agree NOT to:

  • Copy, modify, adapt, alter, translate, or create derivative works of the Software
  • Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Software
  • Remove, delete, alter, or obscure any proprietary notices or labels on the Software
  • Rent, lease, lend, sell, redistribute, or sublicense the Software
  • Use the Software for any unlawful purpose or in violation of any local, state, national, or international law
  • Use the Software to develop competing products or services
  • Attempt to gain unauthorized access to any portion of the Software or its related systems

3. Prohibition of Reverse Engineering

You expressly acknowledge and agree that you will not, and will not permit others to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Software
  • Analyze the Software for the purpose of building a similar or competitive product or service
  • Use any automated tools, scripts, or other means to extract, scrape, or analyze the Software's functionality
  • Bypass, circumvent, or disable any security features, access controls, or use restrictions in the Software

4. Intellectual Property Rights

The Software and all intellectual property rights therein are and shall remain the exclusive property of Company and its licensors. This Agreement does not grant you any rights to Company's trademarks, service marks, trade names, logos, or other branding elements.

5. Data and Privacy

Your use of the Software is subject to our Privacy Policy, which is incorporated herein by reference. You acknowledge that Company may collect, use, and process data in accordance with the Privacy Policy.

6. Termination

This Agreement is effective until terminated. Company may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE USE OF THE SOFTWARE.

9. Indemnification

You agree to indemnify, defend, and hold harmless Company from any claims, damages, losses, or expenses arising from your use of the Software or breach of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Company is incorporated, without regard to conflict of law principles.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and Company regarding the Software and supersedes all prior or contemporaneous agreements, representations, or understandings.
